Terms of Service

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Prospect-Orbit is designed for use by student athletes, many of whom are minors, along with their families, club directors, and college coaches/recruiters.

• If you are 13 to 17, you may create and use your own account. By using the Service, you confirm that your parent or legal guardian has reviewed these Terms and agrees to them on your behalf. Purchases and subscriptions must be made by a parent or legal guardian.
• If you are a parent or legal guardian: By permitting a minor to use the Service, or by creating an account on a minor's behalf, you accept these Terms on behalf of yourself and the minor, and you are responsible for the minor's use of the Service, including any purchases or subscriptions.
• Athletes must be 13 or older to use Prospect-Orbit. We do not knowingly collect personal information from children under 13; if we learn we have, we will delete it.
• Club directors, coaches, and recruiters using the Service must be 18 or older.

Prospect-Orbit provides tools to help families, athletes, and club directors organize and understand the college recruiting process, including but not limited to email/communication logging, compliance calendar tracking, spend tracking, engagement analytics, and AI-assisted features.

The Service is offered in three tiers:

Features included in each tier are described on our pricing page and may be updated from time to time. We will provide reasonable notice before removing a feature you are actively paying for.

Elite tier note: The Elite tier's AI-driven features, and Offer Review on Pro (2 a month) and Elite (unlimited), operate on a fully automated basis without human review of individual submissions. See Section 9 (AI Features) below.

• You must provide accurate account information and keep your login credentials secure.
• Paid subscriptions (Pro and Elite) are billed monthly or annually in advance, depending on the plan you choose, via our payment processor, Stripe, and automatically renew each billing period until cancelled.
• Cancellation: You may cancel your subscription at any time through your account settings. Cancellation stops future billing; we do not provide refunds or credits for partial billing periods, including if you cancel mid-cycle. You will retain access to paid features through the end of the period you already paid for.
• We reserve the right to change subscription pricing with at least 30 days' notice before the change takes effect for existing subscribers.
• Failure to pay may result in suspension or downgrade of your account to the Free tier.

• Families and athletes own their individual data. Communications, activity logs, and engagement data associated with an athlete's account belong to that athlete/family, subject to the data processing described in our Privacy Policy.
• Club directors receive aggregate-only roster views. Club directors and club-level accounts do not have access to individual athletes' email content, private communications, or individual-level engagement data. This is an intentional design choice, not a technical limitation, and will not be changed without updating these Terms and providing notice.
• We do not sell athlete or family data to third parties.

The Service offers optional integrations that allow you to connect a Gmail, Outlook/Microsoft 365, or iCloud mailbox (iCloud connects using an Apple app-specific password) so that coach communications can be automatically identified and logged.

• These integrations are opt-in and can be disconnected at any time through account settings, directly through your Google or Microsoft account permissions, or by revoking your Apple ID app-specific password (for iCloud).
• Our access and use of data obtained through these integrations is governed by our Privacy Policy and, for Gmail, by Google's API Services User Data Policy, including its Limited Use requirements.
• You represent that you have the right to connect any mailbox you link to the Service (e.g., it is your own account, or you are a parent/guardian connecting a minor's account with appropriate authority to do so).

The Service offers an optional feature, Coach Reply Texts, that sends SMS alerts to a mobile number a family verifies when a college coach replies to their recruiting communications. The full opt-in flow and terms are published at prospect-orbit.com/sms.

• Opt-in. Texts are sent only to numbers verified inside the Service, and only while the feature is switched on. Verifying a number is consent to receive these alerts. Reply STOP at any time to opt out.
• Message frequency. Frequency varies — a text is sent only when a coach reply is detected (typically a few messages per month, depending on recruiting activity). Coach reply texts are transactional alerts; we do not send marketing SMS.
• Costs. Message and data rates may apply according to your mobile plan.
• Opt-out and help. Reply STOP to any message to cancel all texts at any time. Reply HELP to any message for assistance. Families can also turn the feature off at any time from My Portal within the app.
• Delivery. Delivery depends on your mobile carrier; carriers are not liable for delayed or undelivered messages. Texts pause overnight (quiet hours) and are delivered after 8:00 a.m. US Mountain time.
• Privacy. We collect only what the feature needs — the mobile number, a one-time verification code, and opt-in/opt-out status — and process texts through our messaging provider, Twilio. See our Privacy Policy for how mobile number and message data is handled.

Prospect-Orbit Coach Reply Alerts: By opting in, you agree to receive transactional text messages about coach replies and account verification. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time. Carriers are not liable for delayed or undelivered messages. Support: admin@prospect-orbit.com.

The Service includes AI-powered features, including an AI Advisor, AI Briefing, and AI-driven Offer Review.

• These features are informational tools, not professional advice. AI-generated content, summaries, comparisons, and recommendations may contain errors or omissions and should not be relied upon as legal, financial, NCAA/NAIA compliance, or recruiting advice. Always verify compliance-related deadlines and requirements with your school, club, and the relevant athletic association directly.
• Offer Review (Pro, 2 a month, and Elite, unlimited) is fully automated and does not include human review of individual submissions. If you want human review of a specific offer or decision, consult a qualified advisor independently of the Service.
• We do not guarantee any recruiting outcome, offer, scholarship, or athletic result from use of the Service or its AI features.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable NCAA, NAIA, NJCAA, or other athletic association rule that governs your eligibility;
• Attempt to access another user's account or data without authorization;
• Reverse engineer, scrape, or resell access to the Service;
• Upload content that is unlawful, harassing, or infringes on others' rights;
• Use the Service to misrepresent an athlete's credentials, statistics, or communications to a coach or program.

We may suspend or terminate accounts that violate this section.

Prospect-Orbit and its logos, design, and underlying software are our property or licensed to us. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as intended. You retain ownership of content you upload (e.g., athlete profile information), and grant us a limited license to use it solely to operate and provide the Service to you.

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate or complete.

To the maximum extent permitted by law, Prospect-Orbit and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, recruiting opportunity, or athletic outcome, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose.

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or at our discretion with reasonable notice where practicable. You may stop using the Service and delete your account at any time through account settings.

These Terms are governed by the laws of the State of Montana, without regard to conflict-of-law principles.

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g., via email or in-app notification) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
